Operator+ Terms of Service
Last updated: October 28, 2026
These Operator+ Terms of Service (“Terms”) are an agreement between you and SKYPSI LLC, an Illinois limited liability company (“SkyPSI,” “we,” or “us”), for Operator+, including its software, services, and Crew Chief (together, the “Service”). If you accept these Terms for a business, you represent that you are authorized to bind it; “you” includes that business. These Terms take effect when you accept them or first access or use the Service, whichever occurs first. If you do not agree, do not access or use the Service.
1. Your account
You sign in with Google and may be asked to verify a mobile number. You must provide accurate account information, keep your credentials secure, and promptly tell us if you suspect unauthorized access. You are responsible for activity under your account and for the actions of people you authorize to access your business’s workspace. You may use the Service only if you can legally agree to these Terms and are authorized to act for any business you identify.
2. Plans, fees, and billing
Plan features, prices, billing frequency, and any applicable trial or introductory terms will be shown before purchase and form part of your order. Unless your order says otherwise, subscriptions are billed in advance and renew for successive periods until cancelled. You can cancel through account Settings or by contacting us at the address in §17. Cancellation stops renewal; paid access ordinarily continues through the current billing period, and fees already due or paid are nonrefundable except where required by law or expressly stated in your order. You authorize the payment method you select to be charged for amounts due. You are responsible for applicable taxes, excluding taxes on SkyPSI’s income. If a payment is overdue or fails, we may restrict paid features after reasonable notice and an opportunity to cure, unless immediate action is needed to address fraud, security, or legal risk.
3. Customer payments through Stripe
If you use the Service’s customer-payment features, you will establish a connected account with Stripe and contract directly with Stripe under Stripe’s Connected Account Agreement and incorporated Stripe Services Agreement. Your connected account uses Stripe’s full Dashboard. Customer payments are processed and paid by Stripe to your connected account, subject to Stripe’s fees, holds, refunds, disputes, and terms. You—not SkyPSI—are the seller of your goods or services and are responsible for your customer relationship, fulfillment, taxes, refunds, and applicable laws. SkyPSI does not hold customer funds or guarantee that Stripe will approve, process, or settle a transaction.
Operator+ payment fee. For each successful online payment your customer makes through the Service toward an invoice you issue, you owe SkyPSI an Operator+ payment fee of 1% of the amount paid toward that invoice, including a partial payment, before deduction of Stripe fees and excluding any separately added Operator+ payment fee.
For a bank-account (ACH) payment, the Service automatically adds that same fee as a separately identified charge to the customer’s total, where permitted by law and payment rules, and discloses the charge and total before the customer authorizes payment. For a card payment, SkyPSI deducts the fee from your payment proceeds before your payout; the Service does not add it to the customer’s card-payment total. You may not add the fee to a card payment through the Service unless SkyPSI enables a compliant card-fee feature.
In either case, SkyPSI collects only one 1% fee on the invoice amount paid, and the ACH charge itself is excluded from that calculation. SkyPSI may collect the fee as a Stripe Connect application fee. Stripe processing, return, and dispute fees are separate and allocated under your Stripe agreement and connected-account configuration.
No Operator+ payment fee arises from a payment that never succeeds. Once a payment succeeds, our fee remains payable despite a later refund, return, reversal, or dispute, except where law requires otherwise or SkyPSI elects to credit it; any Stripe refund or reversal of the application fee does not extinguish that obligation. We may change the 1% rate prospectively only under §16, with the required notice and any required affirmative consent.
4. Connected services and permissions
You may connect third-party services, including Google and QuickBooks, to enable Service features. The permissions, data use, retention, and disconnection rules are described when you connect a service and in our Privacy Policy. You authorize the requested access only for those disclosed features. Each third party’s own terms and privacy rules apply to your use of its service. You may disconnect a service through account Settings or the third party’s permission controls. Some features may stop working after disconnection. SkyPSI is not responsible for a third-party service’s availability, actions, or changes.
5. Crew Chief and generated output
Crew Chief may analyze information you make available to the Service and generate drafts, summaries, recommendations, messages, quotes, proposals, invoices, or schedules. Generated output may be incomplete or incorrect and is not legal, tax, accounting, safety, or other professional advice. You must review it before relying on it or sending it. You are responsible for your decisions, the prices and promises you make, and all content or instructions you send to customers or others. The Service does not make a decision or take an external action for you unless a feature clearly says it will and you have authorized that action.
6. Your content and private data
As between you and SkyPSI, you retain your rights in information and materials you submit to the Service and output created specifically for you (“Your Content”). You grant SkyPSI a limited, nonexclusive license to host, store, reproduce, transmit, display, and process Your Content only as needed to provide, secure, support, and improve the Service for you, consistent with the Privacy Policy and your settings. SkyPSI may use service-provider personnel and systems to perform those functions under appropriate restrictions. This §6 license does not authorize advertising or public display of Your Content. It does not grant rights in your Google or QuickBooks data, private customer communications, or other connected-service data for marketing or public-profile use. We do not sell Your Content.
7. Messages and communications
If you use the Service to send a text, email, or other communication, you are responsible for its content, recipients, timing, and legal basis. You represent that you have the permissions and consents required by law, that your communications comply with applicable rules and third-party platform terms, and that you will promptly honor opt-outs and other recipient requests. Do not use the Service for unlawful, deceptive, unsolicited, or abusive communications. SkyPSI may suspend sending features to protect recipients, providers, or the Service.
8. Your access and acceptable use
While you comply with these Terms and any applicable order, SkyPSI grants you a limited, nonexclusive, nontransferable, nonsublicensable right during your subscription to access and use the Service for your business. SkyPSI and its licensors retain all rights in the Service, software, designs, and related intellectual property. You may not copy, resell, sublicense, reverse engineer, probe, disrupt, overload, bypass security or usage limits, infringe another person’s rights, or use the Service to violate law or harm others. You may not use the Service to develop or train a competing product. We may use feedback you provide without restriction or payment, but this does not transfer ownership of Your Content.
9. Business materials and promotional license
When you accept these Terms for a business, you represent that you have authority to bind it and to grant the rights in this §9. The business retains ownership of its Business Materials. In exchange for access to the Service, including free features, the business grants SkyPSI a worldwide, royalty-free, nonexclusive, sublicensable license to use, reproduce, publish, display, distribute, adapt, format, and promote the business’s identity and public-facing or promotional materials associated with it (“Business Materials”), in any media, to operate and promote SkyPSI, Operator+, and our operator network, and to create or distribute business listings, directories, marketing, and business introductions. This includes use by SkyPSI’s agents and service providers performing these purposes. Business Materials include, without limitation, names, trade names, logos, trademarks, service marks, websites and their public-facing content, public business listings, business descriptions, service information, business photos, reviews, and depictions conveying the business’s likeness, identity, or nature of work that the business has authority to license for these purposes. It also includes accurately describing the fact and nature of the business’s relationship with Operator+. Business Materials do not include personal information, private customer records or communications, Google or QuickBooks data, or other connected-service data. You are responsible for having the rights and permissions needed for materials you provide; this §9 does not grant SkyPSI rights in third-party material that you lack authority to license. SkyPSI may state that a business signed in to Operator+ only if an authorized user actually signed in. A sign-in does not mean paid membership, endorsement, or business results. This license survives account closure only for Business Materials created or published during the relationship.
10. The Service and changes
The Service, Crew Chief, and SkyPSI’s brands and materials belong to SkyPSI or its licensors. We may maintain, improve, add, change, suspend, or discontinue features. We may identify experimental or beta features, which may change or be withdrawn at any time. If we discontinue a material paid feature during a prepaid period, we may provide a reasonable alternative or refund the unused prepaid amount for that feature, as required by law. We may use suggestions or feedback to improve our offerings without restriction or payment.
11. Suspension, termination, and data
You may stop using the Service and close your account at any time. You remain responsible for fees accrued through closure and any renewal period already paid. SkyPSI may discontinue or terminate access to free features or free Service on 30 days’ notice. We may suspend or terminate access for nonpayment, material breach, misuse, security risk, legal requirement, or risk to users or the Service. Where practicable, we will give notice and a reasonable chance to address the issue; we may act immediately where necessary to prevent harm, fraud, or unlawful activity. After closure, we handle and delete data as described in the Privacy Policy, subject to backups, retention periods disclosed there, and records we must retain by law. Sections that by their nature should continue—including accrued payment obligations, intellectual-property rights, liability limits, indemnity, and §9 for materials created or published during the relationship—survive termination.
12. Warranty disclaimer
To the fullest extent permitted by law, the Service is provided “as is” and “as available.” SkyPSI disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, title, and noninfringement. SkyPSI does not promise uninterrupted or error-free operation, any particular business result, customer, job, revenue, or that generated output will be accurate or suitable for your use. This section does not limit a warranty or right that applicable law does not permit us to exclude.
13. Limits of liability
To the fullest extent permitted by law, SkyPSI and its affiliates, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, opportunity, or data, arising from or related to the Service or these Terms, even if advised that such damages were possible. To the fullest extent permitted by law, their total liability for all claims arising from or related to the Service or these Terms will not exceed the greater of (a) the amounts you paid SkyPSI for the Service in the twelve months before the event giving rise to the claim, or (b) US $100. These limits apply regardless of the legal theory and will not apply where prohibited by law or to liability that cannot legally be limited.
14. Your responsibility for third-party claims
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless SkyPSI and its affiliates, officers, employees, agents, and service providers from third-party claims, losses, liabilities, damages, and reasonable costs (including attorneys’ fees) to the extent arising from (a) Your Content or Business Materials, (b) your goods, services, customer relationship, or communications, (c) your violation of law or another person’s rights, or (d) your breach of these Terms. SkyPSI will promptly notify you of a claim and reasonably cooperate at your expense. You will control the defense of a covered claim. SkyPSI may participate through its own counsel at its own expense and may assume control of the defense if a conflict of interest exists. SkyPSI will pay defense costs for any portion of a claim outside your indemnity obligation. You may not settle a claim in a way that admits fault by SkyPSI or imposes an obligation on SkyPSI without SkyPSI’s prior written consent. This section does not apply to the extent a claim was caused by SkyPSI’s own breach or misconduct.
15. Governing law and venue
Illinois law governs these Terms, without regard to conflict-of-law rules. Subject to mandatory law, state and federal courts located in Cook County, Illinois have exclusive jurisdiction and venue, and each party consents to those courts. Nothing in these Terms limits a right or remedy that cannot be waived under applicable law.
16. Changes to these Terms
We may amend, replace, or add provisions to these Terms at any time. We will post the revised version with an updated date and give notice of material changes through the Service or the email associated with your account before they take effect. Changes take effect on the date stated in the notice and apply prospectively. If you continue to access or use the Service after that effective date, you accept the revised Terms. If you do not agree, stop using the Service and close your account before the effective date. We will obtain any separate affirmative consent required by law. No change applies retroactively to a dispute, event, or fee arising before its effective date.
